Job Description: Board/Company Secretary
Overview:
Our client is a Private Equity backed business which will soon IPO on the Tadawul exchange in Riyadh.
The company is looking for a Board Secretary with a Legal background.
Applicants must be native Arabic speakers, preferably with extensive experience with companies in KSA.
As a Board/Company Secretary, you’ll handle a range of high-level executive tasks that are both confidential and critical to the company’s governance. You’ll play a key role in managing and coordinating the activities of the Board of Directors, General Assembly Meetings, and various committees, including agenda preparation, minute-taking, and ensuring effective communication and documentation of decisions.
Key Responsibilities:
- Board Administration: Organize and distribute agendas and minutes for board meetings and committees, ensuring thorough communication and documentation.
- Shareholder Relations: Manage communications with shareholders, distribute annual financial statements, and oversee the payment of dividends.
- Compliance Monitoring: Stay updated on legislative changes, advise the board and CEO on corporate governance, and ensure legal compliance.
- Liaison Duties: Facilitate communication between the board, its committees, management, and external advisors.
- Corporate Records Maintenance: Maintain the share register, draft resolutions for general meetings, and ensure compliance with the company’s governing documents.
- Policy Implementation: Oversee the implementation of company policies, recommend actions to address deficiencies, and support strategic objectives.
- Reporting: Coordinate the preparation and dissemination of company reports for board meetings.
- Communication: Regularly update shareholders, board members, and council members on relevant matters.
- Other Duties: Support governance and strategic goals as assigned by senior management.
Qualifications and Skills:
- Certification: Certified Board Secretary.
- Education: Bachelors’ Degree or higher from a reputable university.
- Experience: Proven experience in a similar role, preferably within Saudi Arabia. In-depth understanding of corporate governance and regulatory requirements in KSA.
